Carer Marketplace Agreement

By registering as a carer on the MyKin platform, you confirm that you have read, understood, and agreed to this Marketplace Agreement in its entirety. If you do not agree to these terms, you may not register or provide services through the MyKin platform. Please read this agreement carefully before proceeding.
1. Definitions
In this Agreement, the following terms have the meanings set out below:
- "Agreement"
- This Carer Marketplace Agreement, including any schedules or policies referenced herein.
- "MyKin" / "the Platform"
- MyKin Ltd, a company registered in Nigeria, and the digital platform it operates at mykin.ng and app.mykin.ng.
- "Carer" / "Service Provider" / "you"
- The individual care professional who registers on the MyKin platform and is approved to provide care services to client families.
- "Client" / "Client Family"
- The individual or family who engages MyKin to arrange care services for an elderly or dependent family member.
- "Care Recipient"
- The elderly or dependent individual receiving care services in the client's home.
- "Engagement"
- A confirmed, completed care visit or period of care service delivered by a Carer to a Client through the MyKin platform.
- "Platform Fee"
- The percentage of each client payment retained by MyKin as a service and technology fee, currently set at 20% of the gross client payment.
- "Carer Payment" / "Net Payment"
- The amount due to the Carer after deduction of the Platform Fee from the gross client payment (currently 80% of the gross amount).
2. Nature of Relationship
The Carer is an independent contractor and not an employee, agent, partner, or joint venture partner of MyKin Ltd. Nothing in this Agreement creates an employment relationship between the Carer and MyKin.
MyKin operates as a technology marketplace platform that connects client families seeking elderly and home care services with qualified, vetted care professionals. MyKin does not itself provide care services and is not the employer of any carer listed on its platform.
As an independent contractor, the Carer is responsible for:
- Their own tax obligations, including personal income tax on earnings received
- Any applicable social security or pension contributions
- Their own professional indemnity or liability insurance where applicable
- All professional regulatory requirements applicable to their practice
3. Registration and Verification
3.1 Eligibility
To register as a Carer on the MyKin platform, you must:
- Be at least 18 years of age
- Hold a valid National Identification Number (NIN)
- Have a valid Nigerian bank account in your legal name
- Have no criminal convictions that would make you unsuitable to work with vulnerable adults
- Be physically and mentally fit to provide care services
3.2 Verification Requirements
All Carers must complete MyKin's mandatory verification process before any placement. This includes:
- Government-issued photo identification (National ID card, international passport, or driver's licence)
- NIN verification via NIMC records
- Residential address verification
- Bank account verification (account name confirmed in your legal name)
- Minimum two professional or character references, contacted and verified by MyKin
- Background check via an accredited third-party screening service
- Completion of MyKin's mandatory carer training programme
3.3 Accuracy of Information
You warrant that all information provided during registration and at all subsequent times is accurate, complete, and truthful. Providing false or misleading information is grounds for immediate termination of your account and may be reported to relevant authorities.
4. Platform Fee and Payment Terms
4.1 How Payments Work
Client families pay for care services directly to MyKin via the Paystack payment gateway. MyKin collects and holds these funds on behalf of the care engagement until service completion is confirmed.
4.2 Platform Fee
MyKin deducts a Platform Fee of 20% of the gross client payment for each completed Engagement facilitated through the platform. The remaining 80% constitutes your Carer Payment for that Engagement.
Example: If a client pays ₦100,000 for a care package, MyKin retains ₦20,000 as the Platform Fee, and you receive ₦80,000.
4.3 Settlement Schedule
Carer Payments are settled on a monthly basis, on the last business day of each calendar month. Each settlement covers all Engagements that were completed and confirmed during that calendar month.
4.4 Payment Method
Settlement is made by electronic bank transfer to your verified Nigerian bank account. MyKin will issue a settlement statement via the platform portal after each payment, itemising:
- All Engagements covered in the settlement period
- The gross client payment for each Engagement
- The Platform Fee deducted (20%)
- The net Carer Payment for each Engagement
- The total net amount transferred
4.5 Disputed Engagements
If a client disputes a visit or care report, the Engagement may be withheld from the current month's settlement pending review. MyKin will notify you of any dispute and give you the opportunity to respond before a decision is made.
4.6 Deductions
MyKin reserves the right to deduct from your settlement amounts owed to MyKin for any reason under this Agreement, including (but not limited to) amounts relating to client refunds caused by confirmed failures on your part to attend or deliver agreed services.
5. Carer Obligations
By accepting placements through the MyKin platform, you agree to:
- Provide care services to the standard described in MyKin's Care Quality Guidelines
- Arrive on time for every scheduled visit and notify MyKin immediately if you are unable to attend
- Log every visit via the MyKin platform on arrival and departure (GPS check-in required)
- Submit a complete care report after every Engagement, covering the care activities completed, the care recipient's condition, any concerns, and medication administered
- Maintain respectful, professional, and compassionate conduct with care recipients and their families at all times
- Maintain the confidentiality of all client and care recipient information at all times (see Section 7)
- Report any incidents, accidents, safeguarding concerns, or near-misses to MyKin immediately
- Complete all mandatory training updates as required by MyKin from time to time
- Notify MyKin of any changes to your personal circumstances, health status, or criminal record that may affect your suitability to provide care
- Not solicit clients directly outside the MyKin platform during the term of this Agreement and for 12 months following termination
6. MyKin Obligations
MyKin agrees to:
- Match you with suitable client Engagements based on your skills, experience, availability, and the client's needs
- Process client payments and settle Carer Payments in accordance with Section 4 of this Agreement
- Provide you with digital tools - including the MyKin mobile app and web portal - to manage Engagements, log visits, submit care reports, and communicate with client families
- Provide access to mandatory and optional training, guidelines, and professional development resources
- Handle client complaints and platform disputes fairly, giving you the opportunity to provide your account before any decision is made
- Protect your personal data in accordance with applicable Nigerian data protection law and MyKin's Privacy Policy
7. Confidentiality
You agree to maintain strict confidentiality with respect to all information relating to clients and care recipients that you access or become aware of through your work on the MyKin platform. This includes - but is not limited to - personal details, health and medical information, financial circumstances, family dynamics, and care plans.
You must not share, disclose, sell, or otherwise transfer any such information to any third party without the explicit prior written consent of the client or their designated family representative, except where required by applicable Nigerian law or by a court of competent jurisdiction.
This confidentiality obligation applies during the term of this Agreement and continues indefinitely after termination.
8. Standards of Conduct
As a MyKin carer, you represent the platform to clients and their families. You agree to maintain the highest professional standards at all times, including:
- Treating care recipients with dignity, compassion, and respect at all times
- Never physically, emotionally, or financially abusing or exploiting a care recipient
- Never accepting gifts, cash, or gratuities from clients or care recipients beyond the agreed platform payment
- Never facilitating the transfer of a client relationship off the MyKin platform to avoid platform fees
- Arriving sober and fit to deliver care on every visit
- Maintaining appropriate professional boundaries with care recipients and their families
- Never using a client's home, belongings, or resources for personal benefit
Breach of these conduct standards may result in immediate suspension or permanent removal from the platform, and where applicable, referral to relevant authorities.
9. Termination
9.1 Termination by Either Party
Either party may terminate this Agreement with 14 days' written notice to the other party.
9.2 Immediate Termination by MyKin
MyKin reserves the right to immediately suspend or permanently terminate your access to the platform without notice in cases of:
- Gross misconduct or professional negligence
- Fraud, theft, or financial dishonesty
- Abuse, neglect, or harm to a care recipient
- Material breach of the confidentiality obligations in Section 7
- Providing false information during registration or at any subsequent time
- Criminal conviction for any offence that makes you unsuitable to work with vulnerable adults
9.3 Effect of Termination
Upon termination, MyKin will settle any outstanding Carer Payments for completed and confirmed Engagements within 30 days of the termination date. The confidentiality obligations in Section 7 and the non-solicitation obligation in Section 5 survive termination of this Agreement.
10. Liability
MyKin provides the platform as a technology intermediary and does not itself deliver care services. You, as an independent contractor, are solely responsible for the quality, safety, and conduct of the care services you deliver to clients.
MyKin's liability to you under this Agreement is limited to the payment of Carer Payments properly due to you under Section 4. MyKin is not liable for any loss of income, indirect loss, or consequential damage arising from your use of or inability to use the platform.
You agree to indemnify and hold MyKin harmless from any claims, damages, or expenses arising from your negligence, misconduct, or breach of this Agreement in the course of delivering care services.
11. Governing Law and Disputes
This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
In the event of a dispute arising from or in connection with this Agreement, both parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of the dispute being raised. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the rules of the Lagos Court of Arbitration or such other arbitral body as the parties may agree.
12. Changes to This Agreement
MyKin reserves the right to update or modify this Agreement from time to time. We will notify registered carers of any material changes via email and through the MyKin platform at least 14 days before the changes take effect.
Your continued use of the MyKin platform after the effective date of any changes constitutes your acceptance of the updated Agreement.
